Conflict of interest: definition & meaning

What is a Conflict of Interest?

A conflict of interest arises when a person's private interests — financial, personal, or professional — could improperly influence, or appear to influence, their judgment or actions in their professional role. A conflict does not require that the person actually acts improperly; the mere existence of a situation where private interests could affect professional decisions is sufficient.

Common types in finance and audit

  • Financial interests: owning stock in a vendor or holding an undisclosed investment in a company that does business with the organization
  • Relationship conflicts: approving contracts, expenses, or payments for entities owned or managed by family members or close associates
  • Self-dealing: approving transactions that personally benefit oneself without disclosure and independent authorization
  • Audit independence: an internal auditor assessing controls or processes for which they previously had operational responsibility
  • Vendor selection: a procurement officer accepting gifts or entertainment from vendors competing for contracts

Mandatory annual disclosure of outside business interests, pre-approval of high-risk relationships, segregation of duties preventing the same individual from selecting and paying vendors, and continuous monitoring identifying payments to entities connected to employee relationships.
